Joint Stock Company according to control stock packages in capital – June 2014

Open Data Albania has conducted a research on control stock packages of domestic or foreign companies and subjects (legal entities) that are shareholders in joint stock companies operating in the country. Indicators are based of data of historical extracts of JSCs as presented in the National Registration Center NRC June 2014.

Corporations that own shares in local JSCs are mainly joint stock companies, limited companies LLC, or other legal forms, that included public institutions, international financial institutions (EBRD, IFC, the Albanian-American Enterprise etc.) and several non-profit organizations.

From the perspective of the possession of controlling interest that these companies have within the shareholding structure of JSCs, it results that in about 67 cases (or 23.4%) they possess a minority package of shares (less than 49%), and about 2.6% of total capital of legal entities. 7 companies (or 5.1% of cases) own 50% of the shares, of a respective joint stock companie constituting 2% of total capital. 25 companies (or about 8.5% of cases) have a simple majority (greater than 51% and less than 76%), accounting for about 3% of the total capital.

15 companies (or about 5.1% of cases) have a supermajority (greater than 75% smaller than 100%), accounting for about 5% of total capital. While 179 companies (or about 60.7% of cases) own all shares in a JSC (100%), representing approximately 87.4% of the capital of legal entities.

According to the research results, legal persons are shareholders in the capital structure of 227 JSCs in 295 cases in total. The total value of the basic capital of these entities is at the level of 2,037 million euro, or about 70.5% of total operating companies, while the rest remains in the possession of natural persons (individual shareholders).
